INDEPENDENT CONTRACTOR AGREEMENT

1. Nature of Relationship
The Contractor is engaged as an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship. The Contractor shall maintain control over the method, means, and manner of performing the services.
2. Scope of Services
The Contractor shall provide a complete, turnkey outbound solution, including elite front-line execution, strategy alignment, CRM management, and lead generation via automated workflows.
3. Compensation & Fee Structure
The Client shall pay the Contractor a fixed monthly fee of $2,600 USD / month. Invoices will be submitted on the 1st of each month, with payment due within seven (7) days of receipt.
4. Infrastructure & Tool Setup Responsibilities
- Client Responsibility: Client provides software licenses and accounts for CRM (Salesforce / HubSpot), softphone/VoIP telco dialers, data platforms (Clay / Apollo), and bulk email sequencers.
- Contractor Deliverables: The Contractor provides full tool setup guidance, system architecture configuration, sequence logic, and a dedicated backend human team (Data Enrichment, CRM Engineers, QA Support, and BDM Telemarketing execution) at $0 additional labor cost.
5. Legal & Compliance Provisions
- Compliance: Client is responsible for ensuring all data provided and outreach campaigns adhere to applicable laws, including but not limited to GDPR, CAN-SPAM, and TCPA regulations.
- Indemnification: Client agrees to indemnify and hold Contractor harmless from any claims, damages, or liabilities arising from the Client's provided data, materials, or instructions.
- Limitation of Liability: In no event shall Contractor's total liability under this Agreement exceed the total fees paid by Client in the preceding three (3) months.
- Governing Law: This Agreement shall be governed by the laws of the jurisdiction in which the Contractor resides.
- Force Majeure: Neither party shall be liable for failure to perform due to events beyond their reasonable control, including but not limited to infrastructure outages or natural disasters.
6. Confidentiality & Intellectual Property
The Contractor agrees to maintain the confidentiality of all proprietary business strategies, Client data, and internal processes disclosed during the engagement.
7. Term & Termination
This agreement is effective on a month-to-month basis. Either party may terminate this Agreement by providing 30 days' written notice. Upon termination, final compensation for services rendered shall be due immediately.
